Series 2 have:
Faster processor
USB ports
HMO capability, Directv of course disabling this feature.
Series 1:
Much easier to hack/add an additional drive, as the Sony + Phillips units were at the start built with two drives in them. Subsequent units (and the Hughes unit) have one hard drive, and the space reserved for the second is sitting empty, hence the reason for easy upgrading.

Thanks Bills, sounds like the two generations are very similar. I wish the Series2 came witha little bigger stock hard drive, but I never came close to filling an 80GB on my 508 so 40GB would be okay at first. Another questions, what's HMO? I see the acronym on the TiVo Community Forums every so often.

HMO = Home Media Option

Series 2 have:

USB Ports, also disabled
Can't use your home network to make the daily call on
No support from DTV (audio dropout problems have been known for months without any 'official' word either acknowledging the problem or any fix). No 4.0, no folders, no ability for the HMO (since the 4.0 isn't available).
Big bug with closed captioning either being way behind or missing. Even after filing FCC complaints DTV has not corrected it on the Series 2.
And.. DTV disavows any nowledge of the HDVR2 (or the new Phillips) being a Series 2. It's a 'second generation DVR', not a series 2, so no 4.0, no HMO, no USB, no nothing.
